1. INTRODUCTION & PARTIES

These Terms & Conditions (“Terms”) govern your participation in the crowdfunding campaign for “Mimpi Kita: Castle In The Air” (“Project”) hosted on www.kotodama.tokyo (“Platform”).

Parties to this Agreement:

• Crowdfunding Operator: Kotodama Lab Sdn Bhd (“We,” “Us,” “Our”)
• Film IP Rights Holder: Anti-Gravity Euphoria Sdn Bhd
• Pledger/Backer: You, the individual or entity making a financial contribution (“You,” “Your”)

By pledging on this Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. DEFINITIONS

• Pledge: Your monetary contribution (RM 2, RM 5, or RM 10) to support the Project
• Rewards: The benefits you receive in exchange for your Pledge, as detailed in Section 4
• OST: Original Soundtrack of “Mimpi Kita: Castle In The Air”
• Special Thanks Credit: Recognition of your support in the film’s end credits (subject to Section 7.3)

3. PLEDGE COMMITMENT & CONSIDERATION

3.1 By pledging, you enter into a binding agreement with Kotodama Lab Sdn Bhd to provide financial support to the Project in exchange for the Rewards specified in your chosen pledge tier.

3.2 Your Pledge constitutes consideration for the Rewards promised. You acknowledge that this is a contractual obligation, not a donation or gift.

3.3 All Pledges are non-refundable except as expressly provided in Section 9 (Refunds & Cancellations) or as required by applicable Malaysian consumer protection law.

3.4 Kotodama Lab Sdn Bhd will collect and aggregate Pledges to fund the production and distribution of the Project as described in the Project Overview on the Platform.

4. PLEDGE TIERS & REWARDS

The following Pledge tiers are available:

4.1 Delivery Timeline: Rewards will be delivered as follows:

• Special Thanks Credits: Upon theatrical or digital release of the film
• OST Download: Within 14 days following official OST release
• Film Tickets: Pledgers will be contacted via WhatsApp with redemption details and availability; tickets are subject to venue capacity and scheduling

4.2 Reward Variations: Kotodama Lab Sdn Bhd reserves the right to substitute equivalent Rewards of similar or greater value if circumstances beyond reasonable control prevent delivery of the promised Reward.

4.3 OST License: The OST downloadable copy is provided for personal, non-commercial use only. You may not reproduce, distribute, publicly perform, or create derivative works from the OST without written consent from Anti-Gravity Euphoria Sdn Bhd.

5. INTELLECTUAL PROPERTY RIGHTS

5.1 All intellectual property rights, including copyright, in “Mimpi Kita: Castle In The Air” (including the film, OST, artwork, and promotional materials) are the exclusive property of Anti-Gravity Euphoria Sdn Bhd.

5.2 Your Pledge grants you the right to access the Rewards as specified in Section 4. This is a limited, personal, non-transferable license for your own use only.

5.3 You may not copy, modify, create derivative works from, distribute, or publicly display any Project materials except as expressly permitted by these Terms.

5.4 Anti-Gravity Euphoria Sdn Bhd retains all rights to use Pledger information, testimonials, and contributions (such as family photos and memories) submitted through community support initiatives for promotional and production design purposes, with appropriate attribution in credits where applicable.

6. PLEDGER RESPONSIBILITIES & REPRESENTATIONS

6.1 You represent and warrant that:

• You are at least 18 years old or have obtained parental consent
• You have legal capacity to enter into this agreement
• Your Pledge will be made from lawful sources and you have authority to pledge
• You are not in breach of any applicable laws or regulations

6.2 Payment Information: You are responsible for providing accurate payment information. Kotodama Lab Sdn Bhd is not liable for failed transactions due to incorrect information provided by you.

6.3 Contact Information: You agree to maintain accurate contact information (including your WhatsApp number for ticket redemption) and to promptly update changes. Kotodama Lab Sdn Bhd is not liable if we cannot reach you due to outdated contact details.

7. PROJECT DELIVERY & LIABILITY LIMITATIONS

7.1 Best Efforts Commitment: Kotodama Lab Sdn Bhd and Anti-Gravity Euphoria Sdn Bhd commit to using reasonable efforts to complete the Project and deliver Rewards as described. However, we cannot guarantee specific release dates or timelines due to factors beyond our control.

7.2 Force Majeure: Neither party is liable for delays or failure to deliver caused by circumstances beyond reasonable control, including but not limited to pandemics, natural disasters, government actions, supply chain disruptions, or production challenges.

7.3 Special Thanks Credits: While we endeavour to include all Pledgers in the film’s Special Thanks credits, we reserve the right to omit credits if:

• The Pledger has violated these Terms
• Technical or legal issues prevent inclusion
• Space constraints require editorial decisions
• Any other reasonable circumstance makes inclusion impracticable

7.4 Film Tickets: Film tickets are offered subject to availability and venue capacity. No guarantee is made regarding ticket availability, timing, or location. Tickets are redeemable only through communication initiated by Kotodama Lab Sdn Bhd via WhatsApp to the contact number provided during the Pledge process.

7.5 No Liability for Project Outcome: Kotodama Lab Sdn Bhd and Anti-Gravity Euphoria Sdn Bhd are not liable for the quality, reception, or success of the Project. Your Pledge does not entitle you to influence creative decisions, approve content, or receive compensation based on the film’s performance.

8. LIMITATION OF LIABILITY

8.1 To the fullest extent permitted by Malaysian law, Kotodama Lab Sdn Bhd and Anti-Gravity Euphoria Sdn Bhd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profit, revenue, or reputation, arising from your Pledge or use of the Platform.

8.2 The total liability of Kotodama Lab Sdn Bhd for any claim shall not exceed the amount of your Pledge.

8.3 Some jurisdictions do not permit liability limitations. If such limitations are unenforceable in your jurisdiction, liability shall be limited to the greatest extent permitted by law.

9. REFUNDS & CANCELLATIONS

9.1 Non-Refundable Pledges: All Pledges are non-refundable except as provided in this Section or as required by mandatory consumer protection law.

9.2 Cancellation by Pledger: You may request cancellation of your Pledge within 7 days of making the Pledge. After this period, cancellation requests will not be accepted unless the Project is cancelled (see Section 9.3).

9.3 Project Cancellation: If Kotodama Lab Sdn Bhd cancels the Project entirely and abandons all development, Pledgers will be entitled to a full refund of their Pledge less any administrative fees permitted by law.

9.4 Refund Processing: Approved refunds will be processed within 30 days to the original payment method.

9.5 Mandatory Consumer Protection: Nothing in these Terms shall limit statutory consumer protection rights available to you under Malaysian Consumer Protection Act 1999 or other applicable law.

10. PLATFORM USAGE & DATA PROTECTION

10.1 You agree to use the Platform only for lawful purposes and in accordance with these Terms.

10.2 You shall not engage in any conduct that:

• Violates any applicable law or regulation
• Infringes third-party rights
• Transmits malware, spam, or harmful content
• Disrupts the Platform’s operation
• Constitutes fraud or deception

10.3 Personal Data: Your personal information will be collected and processed in accordance with our Privacy Policy and Malaysian Personal Data Protection Act 2010. Your data will be used solely for fulfilling Rewards, communication about the Project, and improving our services.

10.4 WhatsApp Communication: By providing your WhatsApp number, you consent to receive Project updates and ticket redemption communications via WhatsApp from Kotodama Lab Sdn Bhd.

11. CONFIDENTIALITY

11.1 Information shared by Pledgers regarding their contributions (photos, family memories, personal stories) may be used by Anti-Gravity Euphoria Sdn Bhd for production design and promotional purposes, unless expressly marked confidential and restricted.

11.2 Pledgers grant Kotodama Lab Sdn Bhd and Anti-Gravity Euphoria Sdn Bhd non-exclusive permission to use such contributed materials with appropriate attribution in credits and social media.

12. DISPUTE RESOLUTION

12.1 Governing Law: These Terms are governed by the laws of Malaysia, without regard to conflict of law principles.

12.2 Jurisdiction: Both parties irrevocably submit to the exclusive jurisdiction of the Malaysian courts.

12.3 Informal Resolution: Before initiating formal proceedings, the parties agree to attempt good-faith resolution through negotiation.

12.4 Correspondence: Disputes or inquiries should be directed to hello@kotodama.tokyo with full details of your concern.

12.5 Arbitration Alternative: The parties may mutually agree to resolve disputes through arbitration under the Arbitration Act 2005 (Malaysia) to avoid litigation.

13. WARRANTY DISCLAIMER

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE PLATFORM AND REWARDS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” KOTODAMA LAB SDN BHD AND ANTI-GRAVITY EUPHORIA SDN BHD DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. AMENDMENT & MODIFICATION

14.1 Kotodama Lab Sdn Bhd reserves the right to modify these Terms at any time. Material changes will be communicated to Pledgers via email or Platform notification.

14.2 Continued use of the Platform following notification of changes constitutes acceptance of the revised Terms.

15. SEVERABILITY

If any provision of these Terms is found invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and all other provisions shall remain in full force and effect.

17. ENTIRE AGREEMENT

These Terms, together with any Privacy Policy and other policies posted on the Platform, constitute the entire agreement between you and Kotodama Lab Sdn Bhd regarding your Pledge and supersede all prior agreements and understandings.

By pledging, you acknowledge that you have read and agree to these Terms & Conditions.
